Purpose
The Contracts & Compliance Manager is responsible for administering Citadel Aviation Group’s contract lifecycle and managing the company’s administrative compliance obligations. This role serves as the primary owner of third-party contracting activities, ensuring agreements are reviewed, negotiated, executed, and maintained in alignment with company standards and risk tolerance. The position also oversees ongoing compliance programs, including vendor credentialing, OFAC/FCPA screening, D&B monitoring, and vendor management activities, supporting sound business practices across all company locations.
Essential Job Functions
- Manage the full contract lifecycle for vendor, customer, and partner agreements, including NDAs, MSAs, SOWs, purchase orders, and service agreements.
- Conduct contract reviews, redlines, and negotiations while coordinating with outside counsel on complex or high-risk matters.
- Maintain and administer the company’s contract repository, ensuring documents are organized, accessible, and properly tracked.
- Monitor contract expiration dates, renewals, deliverables, and contractual obligations; proactively communicate required actions to stakeholders.
- Develop, maintain, and improve standard contract templates, clause libraries, and negotiation playbooks.
- Advise internal teams regarding contractual obligations, risks, and business implications in practical business terms.
- Manage the company’s active vendor list, including onboarding, periodic reviews, and vendor deactivation processes.
- Administer third-party compliance screening activities, including OFAC, FCPA, and vendor due diligence reviews.
- Maintain and oversee D&B vendor credentialing programs and associated compliance documentation.
- Develop and maintain compliance procedures, tracking systems, and standard operating procedures for administrative compliance activities.
- Ensure audit readiness by maintaining complete and accurate compliance records and supporting documentation.
- Monitor regulatory developments related to OFAC, EAR, ITAR, and other applicable compliance requirements impacting aviation operations.
- Partner with Finance, Operations, Supply Chain, and IT to integrate compliance requirements into business processes and ERP systems.
- Support business development, operations, and procurement teams with contract interpretation and third-party risk assessments.
- Assist with acquisitions and integration activities, including contract reviews, assignments, and compliance program onboarding.
- Support corporate governance initiatives, policy development, and process improvement efforts.
Minimum Qualifications or Experience
- Bachelor’s degree in Business Administration, Legal Studies, Paralegal Studies, or a related field.
- Minimum of 3 years of experience in contract administration, legal operations, compliance, or related functions.
- Experience reviewing, negotiating, and managing commercial contracts and agreements.
- Familiarity with vendor credentialing, OFAC screening, third-party risk management, and compliance programs.
- Strong proficiency with Microsoft Office applications and business systems.
- Exceptional organizational skills with the ability to manage multiple priorities and deadlines.
- Strong written and verbal communication skills.
Preferred Qualifications or Experience
- Paralegal certification or Juris Doctor (non-practicing) preferred.
- Experience in aviation, aerospace, MRO, aircraft completions, manufacturing, or industrial services environments.
- Familiarity with export control regulations including ITAR and EAR.
- Experience supporting multi-site operations or post-acquisition integrations.
- Experience with ERP systems, contract lifecycle management tools, and Dun & Bradstreet platforms.
- Knowledge of FAA-regulated business environments.
Supervisory Responsibilities

Travel
